Terms of Service
Effective date: 10 July 2026. Last updated: 10 July 2026.
These terms are a binding agreement between Loryvoice DOO (“we”, “us”) and the customer who opens an account or places an order (“you”). By using Loryvoice you accept them. If you use Loryvoice on behalf of a company, you confirm you have authority to bind that company.
1. The service
Loryvoice is a dubbing service for finished audio and video: you upload a master recording, and we deliver dubbed renders of it in other languages. Renders are produced by voice synthesis generated from the original speaker's own recorded performance — a cloned model of that speaker's voice, not a stock narrator's voice. Voice cloning runs only under the consent regime in section 7, and every render is delivered with the speaker's consent receipt attached, on every plan. The service includes the web platform, the rendering pipeline, and delivery of finished renders.
2. Business use only
Loryvoice is a business service, offered to companies and professionals acting in the course of their trade or profession. It is not offered to consumers, and consumer-protection rules for consumer contracts do not apply to this agreement. You must be at least 18 and use the service for business purposes.
3. Accounts
You must keep your account details accurate and your credentials confidential. You are responsible for activity under your account and must tell us promptly at hello@loryvoice.com if you suspect unauthorised use.
4. Orders, pricing, and billing
Loryvoice is sold as a monthly plan carrying an allowance of finished minutes of delivered render, priced in euros (€). Minutes are counted per delivered language. There are no credits to pre-purchase. The current plans — Starter, Creator, and Enterprise — are described on the pricing page, together with the seats each includes; the rate that applies to an order is the one confirmed in your order or quote before you place it.
When paid plans open, payments will be processed by Paddle as our merchant of record — the Paddle entity shown to you during purchase, which differs by region. Paddle is the seller of record for your purchase: it takes the payment, sets the payment terms, calculates and remits any VAT or sales tax due in your country, and issues your invoice or receipt. Prices shown on our pricing page exclude those taxes, so the amount Paddle charges may be higher than the price on the page. Paddle’s own buyer terms apply to the payment alongside these terms, and where they and these terms conflict on payment, Paddle’s prevail.
Payment timing, reminders and any late-payment consequences for self-serve plans are set by Paddle at checkout, not by us. Enterprise is the exception: annual and volume terms — including per-spot and per-listing render contracts — are set by separate written agreement, which states its own payment terms and prevails over these terms where they conflict.
5. Free pilot
The free 10-minute pilot lets you run your own footage through the full service before anything is billed; pilot renders are free of charge. Everything in these terms applies to the pilot — including sections 7 (voice rights) and 8 (acceptable use) in full — except that during free use the service is provided “as is”, without service-level commitments, and our liability is limited as set out in section 13.
One pilot per customer and per organisation. The pilot is requested from a working business email address; requests from disposable, temporary, anonymous or forwarding mail services are refused, and we may ask you to confirm the address before we render.
Opening further accounts to obtain additional free renders is a breach of these terms — whether under different names, email addresses, domains, organisations or payment details.
To enforce the one-pilot limit we check whether a request is linked to one we have already served. We look at the signals a request carries anyway: the email address and its domain, the IP address and the network it belongs to, the browser and device characteristics your browser sends, and the timing and sequence of requests. We may also weigh comparable signals of the same kind, and we use all of them for this purpose only: we do not build a profile of you for any other. Section 4 of the Privacy Policy sets out the legal basis.
Some networks carry more weight than others. A request arriving from a data centre, hosting provider, commercial VPN, proxy or anonymising service tells us less about who is asking than a request from an ordinary business or consumer connection, and it is a common way to open a second free account. We treat it as a reason to look harder — asking you to confirm your identity or your organisation, or declining the free pilot — not as proof of anything on its own. Plenty of legitimate customers reach us through a corporate VPN, and we do not close accounts over the network alone.
The free pilot is a gift, not an entitlement: we may decline it, at our discretion and without giving reasons, and doing so is not a breach of this agreement. A paid plan is different, and the paragraph below is how we handle one.
A paid account used to farm free pilots is the one case where this reaches beyond the free tier, and there we may also look at the payment instrument and billing details held by our payment provider. Where the signals indicate that, we suspend the affected accounts and tell you why. You can respond, and if the match is wrong we restore the account. Where it is not, we close the accounts involved. We close accounts we have not linked to the circumvention only where the same person or organisation controls them and the circumvention was deliberate; we say which accounts and why. Where a paid plan is closed on this basis, we instruct Paddle to refund the unused portion of the current period, and Paddle issues the refund under its refund policy.
None of this displaces section 15: a breach capable of being cured gets notice and 14 days, and immediate action is reserved for breaches that cannot be cured or that create legal risk.
6. Subscription, renewal, and cancellation
Plans are monthly or annual subscriptions and renew automatically for a further period of the same length until cancelled. You can cancel at any time; cancellation takes effect at the end of the period you have already paid for, and the service stays available until then. Allowances are monthly in every case: an annual plan is twelve monthly allowances, not one large one, and each resets on its own monthly date.
Where a period does end early — a downgrade you ask us to apply immediately, or a statutory withdrawal — it is settled on a daily basis: each day of the month is treated as having used an equal share of that month’s allowance, whether or not you rendered anything, and minutes used beyond the elapsed days’ share are settled at your plan’s rate. A cancellation that simply runs to the end of the paid period is not settled this way; you keep the full allowance of the period you paid for.
An allowance belongs to its billing period and does not carry into the next one: minutes unused when a period ends expire. They are not refundable and are not exchangeable for credit, on cancellation, on downgrade, or at any other time.
Payment, refunds and any statutory right of withdrawal are handled by Paddle as merchant of record under Paddle’s own buyer terms and refund policy. Where you are a consumer in the EU, EEA or the United Kingdom, your statutory withdrawal right applies and nothing in this section limits it.
7. Voice rights and consent
This section is the heart of the agreement.
You warrant that, for everything you upload, you hold all rights needed for us to host and process it and to deliver the renders you order. For any voice you ask us to clone, you additionally warrant that you have obtained a signed consent receipt from the speaker — naming the speaker and covering the creation of a voice model and the uses you intend — given freely by a person with the capacity to give it, and that the receipt is genuine and remains in force when you place the order.
We will not produce a cloned-voice render without a consent receipt on file: no cloned voice without a signed consent receipt from the speaker. Loryvoice attaches that consent receipt to every render produced with the cloned voice, so consent travels with the output. We may refuse or suspend any order where consent is missing, expired, withdrawn, or credibly disputed, and doing so is not a breach of this agreement.
If a speaker withdraws consent, you must stop commissioning new renders with that voice; we will stop producing them immediately and delete the voice model within 30 days, unless a legal hold applies. Renders delivered before withdrawal are unaffected.
8. Acceptable use
You must not use Loryvoice to:
- impersonate any person, or produce a render designed to pass as a genuine statement by someone who never made it;
- create deceptive or misleading synthetic media, including political disinformation or fraud;
- clone or imitate a voice without the speaker's signed consent;
- remove, obscure, or falsify a consent receipt attached to a render;
- process content that is unlawful, defamatory, or infringes third-party rights, including intellectual property and privacy rights;
- probe, disrupt, or overload the platform, or attempt to access other customers' content.
We may suspend the service immediately where we reasonably believe this section is being breached.
9. Your content and our licence to process it
You retain all rights in the recordings, scripts, and other material you upload (“customer content”) and in the finished renders we deliver to you. You grant Loryvoice a limited, non-exclusive licence to host, process, and reproduce customer content solely to provide the service — producing your renders, operating and securing the platform — and for no other purpose. We do not use your content or the voices in it to build products or train models for anyone else, and the licence ends when the content is deleted.
10. Data protection
Each party will comply with the data protection laws that apply to it. For personal data contained in customer content, you are the controller and Loryvoice is your processor; our data processing agreement (DPA), available to every business customer from privacy@loryvoice.com, governs that processing and forms part of this agreement once executed. You are responsible for having a lawful basis for the personal data you upload and for informing the people whose data it contains, including speakers. Our Privacy Policy describes the processing where Loryvoice acts as controller, and our EU Hosting & Data Residency page describes where data lives.
11. Intellectual property; confidentiality
The Loryvoice platform, rendering pipeline, website, and brand remain the exclusive property of Loryvoice and its licensors. These terms grant you no rights in them beyond the right to use the service. Feedback you choose to give us may be used to improve the service without obligation to you.
Each party will keep the other's non-public information confidential, use it only to perform this agreement, and protect it with at least reasonable care. This obligation survives for three years after the agreement ends and does not apply to information that becomes public without breach, was already lawfully known, was independently developed, or must be disclosed by law — in which case the disclosing party gives notice where legally permitted.
12. Warranties and disclaimers
We warrant that we provide the service with reasonable skill and care. Beyond that, the service is provided “as is”: we do not warrant that it will be uninterrupted or error-free, and we make no promise about the commercial results of any render. Nothing in these terms limits warranties or remedies that cannot be excluded under applicable law.
13. Liability
Neither party is liable for indirect or consequential loss, loss of profits, loss of revenue, or loss of data, however arising.
Each party's total aggregate liability under this agreement is capped at the greater of (a) the fees you paid to Loryvoice in the 12 months before the event giving rise to the claim and (b) €1,000. Where you have used only the free pilot and paid no fees, Loryvoice's total aggregate liability is capped at €100.
Neither cap applies to: your payment obligations; your indemnity under section 14; either party's breach of confidentiality under section 11; or any liability that cannot be limited by law — including liability for wilful misconduct, gross negligence, or death or personal injury caused by negligence.
14. Indemnity
You will indemnify Loryvoice against third-party claims, and the resulting damages, reasonable costs, and expenses finally awarded or agreed in settlement, arising from your breach of section 7 (voice rights and consent) or section 8 (acceptable use). We will: notify you promptly of any such claim, give you control of its defence and settlement (provided any settlement fully releases Loryvoice and admits no fault on our behalf without our consent), and reasonably cooperate at your expense. This indemnity is uncapped, as section 13 states.
15. Suspension and termination
You may close your account at any time; fees for renders already delivered remain payable. We may suspend or terminate the service on notice if you materially breach these terms — including section 7 or 8 — and do not cure the breach within 14 days of notice, or immediately where the breach is incapable of cure or creates legal risk for Loryvoice, a speaker, or a third party.
On termination we delete customer content and voice models in line with the retention terms of the Privacy Policy, subject to any legal hold. Sections 7 (surviving warranties), 9 (to the extent of delivered renders), 11, 13, 14, and 18 survive termination, together with any payment obligations accrued before it.
16. Changes to these terms
We may update these terms as the service evolves. For material changes we will give account holders at least 30 days' notice by email; the new terms apply to use of the service after the effective date. If you do not accept a change, you may close your account before it takes effect, and the previous terms govern until then.
17. General
Neither party is liable for failure to perform (other than payment) caused by events beyond its reasonable control. You may not assign this agreement without our written consent, except to a successor in a merger or sale of substantially all assets on notice to us; we may assign it to an affiliate or such a successor. If a provision is held unenforceable, the rest remains in effect and the provision is enforced to the maximum extent permitted. These terms, the order details (including the rate confirmed in your order or quote), the DPA (once executed), and any Enterprise agreement form the entire agreement and supersede prior discussions. Legal notices must be sent in writing to the addresses in section 19; routine notices may be sent by email.
18. Governing law and venue
These terms are governed by the laws of the Republic of Serbia, where Loryvoice DOO is established, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. The courts of Belgrade have exclusive jurisdiction over disputes arising from or in connection with this agreement, without prejudice to mandatory provisions of law that apply regardless of this clause.
